Welcome to VoxDine. These Terms and Conditions (“Terms”) govern your access to and use of the VoxDine platform, website, and services (collectively, the “Services”).

By accessing or using VoxDine, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

  • “VoxDine”, “Company”, “we”, “us”, or “our” refers to the provider of the VoxDine platform.
  • “Customer”, “Client”, “you”, or “your” refers to the restaurant, business, or authorized user accessing the Services.
  • “Services” refers to VoxDine’s AI phone automation, WhatsApp ordering automation, analytics dashboard, integrations, and related features.
  • “End Users” refers to customers of the restaurant interacting with VoxDine via phone or WhatsApp.

2. Description of Services

VoxDine provides AI-powered automation tools designed for restaurants, including but not limited to:

  • AI phone call handling
  • Automated order taking
  • Reservation management
  • WhatsApp ordering automation
  • Upselling workflows
  • Analytics and reporting dashboards
  • Multi-location management features

VoxDine may modify, update, improve, or discontinue features at its discretion.

3. Eligibility

You represent and warrant that you:

  • Are at least 18 years of age
  • Have authority to enter into a binding agreement on behalf of your business
  • Will provide accurate registration and account information

You are responsible for ensuring your use of the Services complies with all applicable laws and regulations.

4. Account Registration and Security

You agree to:

  • Provide accurate business details
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach

VoxDine is not responsible for losses arising from compromised credentials due to your negligence.

5. Fees and Payment Terms

5.1 Subscription Fees

Access to VoxDine is provided on a subscription basis unless otherwise agreed in writing.

5.2 Payment Terms

  • Fees are billed monthly or annually as per your selected plan.
  • Payments are due in advance unless otherwise stated in writing.
  • Failure to pay may result in suspension or termination of Services.

5.3 No Refunds

Unless otherwise stated in writing, subscription fees are non-refundable.

6. Acceptable Use

You agree not to use VoxDine to:

  • Engage in unlawful activities
  • Process illegal goods or services
  • Commit fraud or misrepresentation
  • Harass, threaten, or mislead end customers
  • Attempt to reverse engineer, tamper with, or disrupt the platform
  • Send spam or unsolicited communications

Violation of these rules may result in immediate suspension or termination.

7. Data and Privacy

7.1 Customer Data

You retain ownership of your business data.

7.2 End-User Data and Consent

You are responsible for ensuring you have appropriate consent and legal basis to collect and process End User information through phone and WhatsApp interactions.

7.3 Data Security

VoxDine implements reasonable technical and organizational measures to protect data, but no system can be guaranteed 100% secure.

7.4 Compliance

You are responsible for compliance with all applicable data protection laws, including but not limited to GDPR (if applicable), the Indian IT Act and rules, and any relevant local regulations.

8. AI System Limitations

You acknowledge and agree that:

  • AI systems may occasionally misinterpret speech, intent, or messages.
  • You are responsible for reviewing and validating configurations, menus, and workflows before deployment.
  • VoxDine does not guarantee 100% accuracy in order capture, responses, or call understanding.
  • Human oversight is recommended for best results.

VoxDine is not liable for losses arising from incorrect configurations, inaccurate menus, or operational decisions made based on AI outputs.

9. Third-Party Integrations

VoxDine may integrate with third-party services such as WhatsApp Business API providers, telecom carriers, or POS systems. VoxDine is not responsible for:

  • Downtime or failures caused by third-party providers
  • API changes outside VoxDine’s control
  • Pricing or policy changes imposed by third parties

10. Service Availability

While VoxDine aims to provide high availability, uninterrupted Service is not guaranteed. VoxDine is not liable for outages due to:

  • Telecom or network failures
  • Maintenance windows
  • Force majeure events
  • Issues with third-party providers

11. Intellectual Property

All software, systems, AI workflows, branding, documentation, and related intellectual property remain the exclusive property of VoxDine. You may not:

  • Copy, reproduce, or resell VoxDine Services without written permission
  • Reverse engineer the platform or underlying workflows
  • Remove proprietary notices or branding

12. Limitation of Liability

To the fullest extent permitted by law:

  • VoxDine shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • VoxDine’s total liability shall not exceed the total subscription fees paid by you in the preceding three (3) months.
  • VoxDine is not responsible for missed orders, lost profits, reputational harm, or business interruption.

13. Indemnification

You agree to indemnify and hold VoxDine harmless from any claims, damages, losses, liabilities, and expenses arising out of:

  • Your misuse of the Services
  • Your violation of these Terms
  • Your violation of applicable laws
  • Customer complaints regarding your restaurant’s products or services
  • Incorrect configuration or data provided by you

14. Termination

14.1 By You

You may cancel your subscription by writing to support@voxdine.app.

14.2 By VoxDine

We may suspend or terminate access if:

  • Payment is overdue
  • You violate these Terms
  • Your use poses legal, security, or reputational risk

No refunds will be provided for termination due to breach.

15. Confidentiality

Both parties agree to maintain confidentiality of non-public business, technical, and commercial information shared during the relationship and to use such information only for performance of the Services.

16. Force Majeure

VoxDine is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, war, riots, telecom disruptions, power failures, or infrastructure outages.

17. Changes to These Terms

VoxDine may update these Terms from time to time. Updated versions will be posted on the website. Continued use of the Services after changes constitutes acceptance of the revised Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which VoxDine operates, without regard to conflict of law principles. Any dispute shall be subject to the exclusive jurisdiction of the competent courts in the governing jurisdiction.

19. Entire Agreement

These Terms constitute the entire agreement between you and VoxDine regarding the Services and supersede all prior or contemporaneous agreements or understandings.
